Dividends and Interest On Equity
Banrisul’s Interest on Equity and Dividend Policy was proposed by the Executive Board and approved by the Company’s Board of Directors, establishing the procedures to be complied with regarding the distribution of dividends and/or payment of interest on equity of the Company, so as to make the shareholders’ compensation process transparent to investors and the market in general, in line with the Corporate Governance practices adopted by Banrisul, based on its capital structure.
The Executive Board, with the consent of the Board of Directors, may submit to the General Meeting the distribution of dividends/IoE in a percentage higher than the 25% established in Brazilian Corporate Law, observing all other statutory and legal rules on the payment of dividends, considering, among others, the level of the Company’s capitalization according to the rules of the Central Bank of Brazil, and the minimum level established by the Board of Directors of 4 p.p. (percentage points) above the regulatory requirement for the Total Basel Index.
The ASM held on 04/27/2023 approved the adoption of a percentage equivalent to 50% (fifty percent) of the Company’s Net Income, excluding the Legal Reserve, as distribution of interest on equity and/or dividends for the year of 2023.
A payment schedule for Interest on Equity (IoE) was instituted for the year of 2023, as follows:
|REFERENCE PERIOD||ANNOUCEMENT DATE||SHAREHOLDER BASE DATE||EX DATE||PAYMENT DATE|
Banrisul will disclose the amount of interest on equity to be distributed through a specific Material Fact on the announcement date of each quarterly payment.
